NVIDIA Corporation completed an offering of multiple tranches of unsecured senior notes on June 18, 2026. The company issued a total of $28.5 billion across seven different note series. The 2028 Notes total $3.5 billion with a coupon rate of 4.250%. The 2029 Notes total $3.5 billion with a coupon rate of 4.350%. The 2031 Notes total $4.0 billion with a coupon rate of 4.500%. The 2033 Notes total $3.5 billion with a coupon rate of 4.750%. The 2036 Notes total $4.0 billion with a coupon rate of 4.950%. The 2046 Notes total $3.0 billion with a coupon rate of 5.550%. The 2056 Notes total $3.5 billion with a coupon rate of 5.625%.
The offering was made pursuant to NVIDIA's Form S-3 registration statement (File No. 333-287619) on a delayed basis. Goldman Sachs Co. LLC, J.P. Morgan Securities LLC, and Morgan Stanley Co. LLC served as representatives of the underwriter syndicate under an Underwriting Agreement dated June 15, 2026. The notes are governed by an indenture with Computershare Trust Company, N.A., as trustee (successor to Wells Fargo Bank, National Association), originally dated September 16, 2016 and supplemented by an Officers Certificate dated June 18, 2026.
