Nebius Group (NASDAQ:NBIS) shares surged 8% to $186 in Friday afternoon trading, recovering sharply from Thursday's 14% plunge that closed at $171.77. The catalyst was Nebius's first-ever senior secured debt facility—a $775 million loan designed to fund its AI buildout without new share issuance.
The rebound stands out against a softer broader market. The Invesco QQQ Trust (NASDAQ:QQQ) was tracking lower, underscoring that this represents an idiosyncratic positive catalyst rather than a beta rally. Nebius remains up 117% year to date.
Thursday's selloff reflected dilution fears as the neocloud trade unraveled. Friday's recovery directly addressed that concern. The company structured the debt facility around GPU hardware already deployed in its data centers, backed by cash flows from an existing customer contract. According to Nebius, this approach converts revenue-generating infrastructure into fresh growth capital and can be replicated.
The strategic importance is direct. Nebius had guided to $22.5 billion in 2026 capital expenditures, and how to fund that figure was the central investor question. By tapping asset-backed debt instead of equity, the company answers the bear thesis head-on. Nebius also cited more than $40 billion in additional contracted revenue from investment-grade customers including Microsoft (NASDAQ:MSFT) and Meta Platforms (NASDAQ:META), and confirmed it remains on track with its Microsoft capacity deployment.
The company's $2 billion pre-funded warrant investment from NVIDIA (NVIDIA was little changed Friday) remains the anchor validation for its GPU fleet.
CoreWeave (NASDAQ:CRWV) is the closest neocloud pure-play and deployed the same approach earlier this year, closing an $8.5 billion asset-backed delayed-draw term loan. Asset-backed debt has effectively become the sector's preferred financing method for AI infrastructure without shareholder dilution. However, CoreWeave shares are up just 1% Friday and down 44% over the past year amid debt-load and profitability concerns. Nebius's positive EBITDA profile has become a key differentiator.
The bull case is clear: non-dilutive, asset-backed financing answers the dilution worry, reinforces Nebius's capital-efficiency narrative, and builds on both the NVIDIA anchor and a substantial contracted revenue book.
The bear case counters that Nebius adds secured leverage against its GPU fleet, its trailing P/E ratio of 70x remains elevated, and today's bounce follows a brutal month. The neocloud derating could resume. Given NBIS's high-beta profile, position sizing matters.
